By-Laws to the Constitution for the Henry County Historical Society

I – NAME

A. ELIGIBILITY
- A member in good standing is one who has paid dues by February 1st of that calendar year.
- Membership levels
- Individual $20
- Gold $100
- Bronze $50
- Platinum $250
- Silver $75
- Diamond $500 +
- Those holding Life memberships will be grandfathered
- Each membership carries one (1) vote regardless of type of membership and number of persons sharing a membership. This includes Individual, Bronze, Silver, Gold, Platinum, Diamond, Business, Organization or Institution and Life membership.
IV - BOARD OF TRUSTEES
A. ELIGIBILITY
- Fill out a personal information sheet provided by the Board of Trustee and return said information sheet to the Board of Trustees by March 1st.
B. AUTHORITY
Bequests or monetary donations except funeral bequests received by the Society will be placed in the General Fund, unless otherwise specified by the donor.
D. VACANCY
- The Board of Trustees shall fill any vacancy by appointing the person receiving the next highest number of votes for Trustee at the most recent Annual Membership meeting to fill the term. If he/she is not available, than the next highest will be appointed and so on.
- If none from the list are available, the Board of Trustees shall appoint a qualified member.
V – OFFICERS
A. ELECTION OF OFFICERS
- Officers shall include President, Vice President, Secretary and Treasurer; all of who shall be elected for a term of one year and shall serve until their successors are elected.
VI – MEETINGS
A. ANNUAL
- The President shall prepare the agenda for the Annual Meeting.
- Voting for Trustees at the Annual Meeting will begin 1 hour before the start of dinner.
C. NOTICE
- Special meetings of the Society may be called by the President or at the written request of any five (5) Trustees. All five (5) Trustees that signed the request have to be in attendance or the meeting is void.

B. TAX EXEMPT STATUS
- DONATIONS
- All funeral bequests received by the Society will be placed in the Endowment Fund, unless otherwise specified by the donor, but at the discretion of the Board of Trustees.
- With a minimum donation of $20,000, a particular fund may be named by the donor with the Board of Trustees approval.
- FUNDS CURRENTLY ESTABLISHED FOR THE SOCIETY.
- General Fund – To support the operating expenses for the Society.
- Building Fund – To maintain our buildings and grounds for the Society.
- Joyce Snyder Colwell Education Fund – To support the educational activities and programs for the Society.
- Endowment Fund – To support the operating expenses for the Society on a long-term basis with restricted funds.
X – AMENDING THE CONSTITUTION
A. AMENDING THE BYLAWS
These bylaws may be amended by a 2/3 vote of all the Trustees. This may be at any regular or a special meeting of the Trustees provided notice of such action was given at a previous meeting or in a newsletter. Notify general membership of changes.
